Experience:

Corporate Finance (equity) – AIM and Main Market IPOs and secondary issues. Seed (including EIS), Series A and Series B funding for private companies.

Corporate Finance (debt) – bridge financing (straight debt and convertibles), venture loans and secured institutional debt facilities (LMA).

M&A – acting for both buyers and sellers of UK private companies and multinational groups on both share and asset purchases. Public company acquisitions under the UK Takeover Code including ‘general offers’ and ‘whitewash and waiver’.

Project and Asset Finance – secured institutional (LMA) debt finance and ‘mini-bond’ offerings.

Regulatory – advising ‘issuers’ and ‘authorised persons’ on their regulatory obligations primarily under FSMA, MiFID/MiFIR, the FCA Handbook, DTR, MAR and the AIM Rules.

Commercial – acting as general counsel to a number of both public and private companies on commercial matters including general contract review and dispute resolution.

Sectors – Technology (including bio-sciences, ‘SaaS’ platforms and alternative energy), Energy (primarily renewable energy projects), Banking and Financial Services, and Shipping and Aviation.

Other:

A keen (yet not particularly good) golfer, member of Tylney Park Golf Club and the OSGS, and tennis player.
